Terms of sale

These terms apply to every order placed on this website. We sell to trade and business customers only.

1. About us

Switchgear Direct is a trading name of ENICO Ltd, a company registered in England and Wales (company number 14523114). Registered office: 128 City Road, London EC1V 2NX. VAT number GB430888675. In these terms "we" and "us" means ENICO Ltd and "you" means the business placing the order. You can contact us at sales@switchgeardirect.co.uk.

2. Trade and business customers only

  1. We sell only to customers buying in the course of their trade, business or profession - for example electrical contractors, panel builders, installers, maintenance teams, manufacturers and resellers. Sole traders are welcome. We do not sell to consumers.
  2. When you order, you give a company or trading name and confirm that you are buying for your business. We keep that confirmation with your order.
  3. If an order appears to have been placed by a consumer, we may cancel it and refund any payment in full.
  4. These terms are written for business customers. The rights that consumer law gives people buying for personal use, such as the 14-day right to cancel an online order, do not apply to orders placed under them.

3. How the contract is made

  1. Product details, prices and stock on the website are an invitation to order, not an offer.
  2. Your order is an offer to buy. We accept it when we email you our order confirmation, and the contract between us starts then.
  3. If we cannot accept an order - for example because a product is no longer available or its price or description is wrong - we will tell you and refund any payment.
  4. These terms and our order confirmation make up the whole agreement for your order. Terms on your purchase order or other documents do not apply unless we agree to them in writing.

4. Prices and VAT

  1. Prices are in pounds sterling and exclude VAT. VAT is added at the current rate (20%) and shown at checkout before you pay. VAT is charged on delivery too.
  2. We can change prices at any time; a change does not affect an order we have already accepted.
  3. If we find that a price was wrong, we will tell you as soon as we can. If you could reasonably have seen that the price was a mistake, we may cancel the order and refund you in full. Otherwise you can choose to go ahead at the correct price or cancel for a full refund.

5. Payment and ownership

  1. You pay by debit or credit card when you place your order. Card payments are processed by Stripe; we never see or store your full card details.
  2. If we cannot supply part of your order, we refund that part to the card you paid with.
  3. We do not offer credit accounts unless we have agreed account terms with you in writing.
  4. The goods belong to you once we have received payment in full and they have been delivered.

6. Minimum order and delivery

  1. The minimum order is £50 ex VAT of goods, before delivery.
  2. Delivery is £9.95 ex VAT on orders under £100 ex VAT of goods, and free on orders of £100 ex VAT or more. The charge is shown at checkout before you pay.
  3. We deliver to addresses in the United Kingdom. Carriage to Northern Ireland, the Scottish Highlands and Islands and other remote addresses costs our suppliers more: we may contact you before dispatch about an extra charge or a longer lead time, and if you do not accept it you can cancel the order for a full refund. We cannot deliver to the Channel Islands, the Isle of Man or outside the UK through the website - ask us for a quote.
  4. Orders are dispatched from our suppliers' UK stock, so an order with products from more than one manufacturer can arrive in more than one delivery.
  5. Delivery times on the website are estimates: usually usually 2-3 working days for most products and usually 3-5 working days for Rittal products. If a product turns out to be unavailable after you have ordered, we will email you the expected lead time; you can wait or cancel that item for a full refund. If delivery is more than 30 days later than the estimate, you can cancel the items not yet delivered for a full refund.
  6. The goods are at your risk from delivery. Please make sure someone can accept the delivery; if a delivery fails because the address is wrong or nobody is there, we may charge for redelivery.
  7. Please check deliveries when they arrive and tell us about damaged, missing or wrong items within 3 working days of delivery, with your order number and, for damage, a photo. Where you can, note visible damage on the carrier's delivery record.

7. Cancellations and returns

  1. You can cancel an order that has not yet been dispatched by emailing us. If our supplier has already sent it, we will treat it as a return under 7.2.
  2. We do not have to accept the return of goods that are not faulty. If we agree to a return, we will tell you the conditions - for example the time limit, a restocking charge and who pays the return carriage - before you send anything. Please do not send goods back until we have confirmed the return.
  3. Goods made or ordered specially for you (such as panels and assemblies we build, and special-order items) and goods that have been installed or used cannot be returned unless they are faulty.

8. Faulty goods

  1. Goods will match their description, be of satisfactory quality and be free from defects in materials and workmanship when delivered.
  2. If goods are faulty, tell us within 12 months of delivery, or within the manufacturer's warranty period if that is longer. We will repair or replace them or refund the price, as we choose, and pay reasonable return carriage. Many products carry the manufacturer's own warranty; we pass on to you the benefit of any warranty we receive.
  3. To make a claim, email us with your order number, the part number, a description of the fault and photos. Do not return goods until we ask; we may need them back for inspection by us or by the manufacturer. If an item turns out not to be faulty, we may charge for carriage and testing.
  4. We are not responsible for faults caused by wrong selection or installation, misuse, accidents, alteration, use outside the manufacturer's ratings or instructions, or normal wear and tear.

9. Choosing and installing products

  1. Our products are for professional use. They must be selected, installed, tested and maintained by a competent person, in line with BS 7671 (the IET Wiring Regulations), the manufacturer's instructions and any other standards that apply.
  2. Product information on the website - descriptions, specifications, compatibility lists, pictures and our own renders - is a guide based on manufacturers' data. Check the manufacturer's datasheet before ordering and before installing. Pictures, including our own renders of Rittal products, are illustrations and may differ from the product supplied.
  3. You are responsible for making sure a product is suitable for your application. If you would like help choosing, ask us before you order.
  4. Manufacturers sometimes update designs. We may supply the current version of a product if it has the same form, fit and function.

10. Our liability

  1. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by section 12 of the Sale of Goods Act 1979, or for anything else the law does not allow us to limit or exclude.
  2. Subject to 10.1, we are not liable for loss of profit, revenue, business, contracts or goodwill, for loss of use, production or data, for the cost of installation, removal, labour or downtime, or for any indirect or consequential loss, however it arises.
  3. Subject to 10.1, our total liability for an order, whether in contract, negligence or otherwise, is limited to the price paid for the goods in that order.
  4. These limits reflect that our prices are set for trade supply and that you are best placed to insure your own business against these losses.

11. Events outside our control

We are not liable for delay or failure caused by events outside our reasonable control, such as a supplier or carrier failure, shortages, strikes, extreme weather, fire, flood, epidemic, war or government action. If such an event lasts more than 30 days, either of us may cancel the affected order and we will refund anything paid for goods not delivered.

12. Bespoke work and own builds

Panels, assemblies and other goods we build or source specially for you, and engineering services, are supplied under a separate written quotation. Where the quotation and these terms differ, the quotation applies.

13. General

  1. We may change these terms. The terms on the website when you place an order apply to that order.
  2. You may not transfer an order to someone else without our agreement. Our suppliers and carriers deliver orders on our behalf.
  3. If a court finds part of these terms unenforceable, the rest stays in force. If we do not enforce a term straight away, we can still enforce it later.
  4. Only you and we have rights under these terms; nobody else can enforce them.
  5. We may contact you by email at the address you gave with your order; you can contact us at sales@switchgeardirect.co.uk.
  6. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
